    cross fade

I have one more issue. I have a background video over a keyed video. Then I want to be able to fade a jpeg over both of those. Basically covering the other video ticks. The background video fades but the keyed track pops on and off.

What is the trick to that?

This is the same issue, actually.

Maybe I'm a bit thick this morning, but if I understand what you are trying to do....
    1) place the jpeg lower than your video and keyed video
    2) move the jpeg to the left, the amount of time you want the fade to be
    3) make the jpeg an 'overlay' (click the overlay button or push 'y' on the keyboard)
    4) grab the fader 'fd' control on the lower left corner of your jpeg (on the timeline)
    5) slide it to the right and release at the end of the video/keyed video segment

and again... I could be way off base... it was a long night and early morning.
