I guess it has more bells and whistles than the regular TMPGEnc.

Beyond what we can already do in VT-edit, I suppose the new audio and chapter management features are good to have...

Only played with it for a brief test, but unless I'm missing something it is not a replacement for their encoder with authoring added. It installed in a separate directory and as far as I could tell didn't look for the encoder software. Got an email from them yesterday stating:
Unfortunately there was a big problem in the version we published on April 26th, which resulted in a fatal error when outputing a PAL DVD-Video. We have corrected this error and the new version is available from our website.
