Well then use this http://www.okino.com/conv/filefrmt.htm it clearly shows that can it can covert to .max .3ds and about 50 others.

I think you still need Max
(2) You must own a copy of 3D Studio MAX in order to read or write .max format. PolyTrans-for-MAX is a special plug-in system that allows MAX users to read/write all of the Okino 3D file formats. If you do not own a copy of 3DS MAX then you can receive files from MAX users via the .3ds file format.
I have some .max files I was trying to get into lightwave and couldn't find an option that didn't involve owning max...

Well there are other options, but I'm not going to list them here as that would be illegal. Use your searching tools such as google MIRC and irc spy to help you to find a "Tool" that will allow you to transfer .max

.max is a propretary format of discreet, no tools can read or convert without max installed on computer, olso okino or deep exploration cannot read .max file without max, be cause they load and use directly max routines and dll.
you must search a max user to convert it, try on max section of cgtalk.com forum.

I could convert it for,
I have access to 3DS Max 4.2.
NOTE: If the MAX file was made with MAX 5.0 it would not work, because it's not compatible with 4.2-.
But, I could give it a try.

http://www.nextlimit.com/productslw2max.htm goes lw2max and suppossedly takes motions along with the transfer... I have not used it yet, so don't know how well it works.
Also, if you have a friend that has max, you could try fbx...
